What is a Head of Legal and Company Secretary- JazzCash?

We are seeking a highly skilled and strategic Head of Legal and Company Secretary to lead our legal, governance, and regulatory functions for our fintech business unit. This dual-role position is central to our fintech operations, ensuring legal integrity, corporate governance, and full compliance with applicable laws. The ideal candidate will be a proactive legal leader with deep expertise in fintech regulations, company law, digital financial services, and board advisory.

What does Head of Legal and Company Secretary- JazzCash do?

Legal Leadership & Risk Management

·       Provide expert legal guidance on corporate structuring, fintech licensing, digital payments, consumer protection, data privacy, cybersecurity, and intellectual property.

·       Lead, structure, draft, and negotiate complex commercial, technology, data sharing, and vendor contracts.

·       Oversee and manage all legal risks associated with product development, partnerships, fundraising, and market expansion.

·       Stay abreast of global and local fintech regulatory trends and advise the business on emerging risks and opportunities.

·       Manage litigation, disputes, and external counsel engagements effectively.

Corporate Governance & Secretarial Duties

·       Act as Company Secretary for the board and its committees, ensuring best-in-class governance practices.

·       Organize and minute board meetings, maintain statutory registers, and ensure timely filings with regulatory authorities.

·       Advise the board on fiduciary duties, company law compliance, and evolving governance norms.

·       Ensure compliance with corporate laws, licensing requirements, and relevant fintech regulations.

Stakeholder & Regulatory Engagement

·       Serve as the primary legal liaison with regulators and support licensing, reporting, and audit obligations.

·       Engage with industry bodies and contribute to policy advocacy where relevant.

Team Management & Legal Operations

·       Build and lead a high-performing legal team aligned with business priorities.

·       Implement legal operations tools, workflows, and contract lifecycle management systems.

·       Develop internal training programs to promote legal and regulatory awareness across teams

Requirements

What are we looking for and what does it take to be Head Legal and Company Secretary- JazzCash?

Qualifications & Experience

·       LLB or equivalent legal degree; LLM or CS certification is a strong plus.

·       At least 12+ years of post-qualification experience, with significant leadership exposure in fintech, financial services, or technology companies.

·       Demonstrated expertise in fintech regulations, digital banking, data protection, and corporate governance.

·       Experience working with boards, regulators, and cross-functional executive teams.

·       Prior experience as a Company Secretary in a regulated entity preferred.
